Who we are

Welcome to Digit-tally, owned and operated by Accudigit Solutions Limited ("we," "us," or "our"). Digit-tally offers a comprehensive and customized accounting solutions that cater specifically to the needs of Nigerian businesses, whether small or large. We aim to provide a one-stop solution for all accounting and financial management needs, eliminating the complexities of managing multiple systems.

These Terms of Use ("Terms") govern your use of Digit-tally (the "App"). When we refer to “you” or “your”, we mean both you and any firm or organization you are authorized to represent. Please read these Terms carefully as they govern your use of the App and its services. By accessing or using Digit-tally, you agree to be bound by these Terms. These terms are a legally enforceable contract between you and us. If you do not agree with any part of these Terms, please do not use the App.

Our Services

Our services include robust accounting features such as invoicing, payroll management, bank reconciliation, financial reporting, expense tracking and tax management.

1. User account

1.1 . Eligibility: You must be at least 18 years old and capable of forming a binding contract to use the App. By using the App, you represent and warrant that you meet these eligibility requirements.

1.2 . Account Creation: To access certain features of the App, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.

1.3 . Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

1.4 . Termination of Account: We reserve the right to suspend or terminate your account and access our App at any time, for any reason, without notice and we shall not be liable to you in any such way.

2. Use of the App

2.1 . License: We grant you a limited, non-exclusive, non-transferable, and revocable license to use the App for your personal/business, non-commercial use only. You may not reproduce, modify, distribute, or create derivative works of the App without our prior written consent.

2.2 . Prohibited Conduct: We offer extensive guides and support to help you use our services. When using the App, you agree not to:

• Violate any applicable laws, regulations, or third-party rights.
• Use the App for any unlawful or fraudulent purpose.
• Interfere with the operation of the App or disrupt the servers or networks connected to the App.
• Attempt to gain unauthorized access to any part of the App.
• Transmit viruses, malware, or other harmful code through the App.
• Use automated means, such as bots, crawlers, or scrapers, to access the App.
• Do or omit to do anything that, in our opinion brings us or the App into public disrepute, contempt or scandal or puts at risk any other users of the App.

3. Subscription Plans

3.1 . When you create a subscription to utilize our services and agree to these terms, you become a subscriber. We provide you with the right to use our services according to the subscription plan for as long as you continue to pay or terminate your subscription.

3.2 . Your use of Digit-tally requires you to pay a monthly or a yearly subscription fee based on the desired subscription plan as stipulated on the app:

1. Free Trial Stage: This level allows users to access basic features of the app for a limited time period at no cost. Users are encouraged to explore the app and its features during the trial period to determine if it meets their needs.
2. Accounting Start: This level provides access to essential accounting features, suitable for individuals or small businesses just starting with accounting and financial management.
3. Accounting Standard: This level offers advanced accounting features, ideal for growing businesses working with suppliers, CIS or with accrual accounting and those requiring more robust financial management capabilities.
4. Accounting Plus: This level includes premium features such as everything in accounting standard, multi-currency banking and inventory management.

3.3 . Your subscription is valid for the time period specified in the chosen plan. After each payment month or year, theseterms will automatically renew for the same duration as the previous one, as long as you continue to pay the subscriptionfee according to the pricing plan.

3.4 . You may choose to terminate your subscription at any time by giving us a one-month notice period, or we may terminateyour subscription if you violate these Terms or fail to pay subscription fees.

4. Payment

4.1 . At Digit-tally, Payments will be processed by our third-party payment processor.

4.2 . It is important to note that the fees charged by Digit-tally are exclusive of Value Added Tax (VAT) which may be charged separately.

4.3 . We collect and store users’ banking and card data for payment processing purposes. However, we do not retain such for security purposes.

5. Privacy Policy

5.1 . Digit-tally provides you with services based on the data you submit. We value your privacy and take data protection seriously. Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, disclose, and protect your data.

6. Intellectual Property

6.1 . Ownership: All content, features, and functionality of Digit-tally, including but not limited to text, designs, logos, images, and software, are owned by Accudigit Solutions Limited or its licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 . Use of Content: You may use our services solely for your business. You agree not to copy, distribute, make derivative works of any of our content or exploit any of our intellectual property rights without our permission. Any unauthorized use of our content may violate the copyright act, trademark act, and patents and designs act and we may bring a legal action against you for such violation.

7. Third-Party Links and Services

7.1 . Third-Party Links: The App may contain links to third-party websites or services that are not owned or controlled by Digit-tally. Third-party services are subject to terms of use and privacy policies set by them. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

7.2 . Third-Party services: You may also encounter third-party services or advertisements within the App. Your interactions with these third-party services are solely between you and the third party, and we are not responsible for any damages or losses arising from such interactions.

8. Maintenance

8.1 . We aim to keep our services available at all times and minimize any downtime. However, we may occasionally need to perform maintenance on our services, which may cause interruption. We will make every effort to notify you before scheduled maintenance.

8.2 . If your data is lost or corrupted during downtime, we will take reasonable steps to restore it from our backups.

9. Disclaimer of Warranties

9.1 . As-Is Basis: Digit-tally is provided on an "as-is" and "as-available" basis, without any warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

10. Limitation of Liability

10.1 . Limited liability: Our liability to you in connection with our services or these Terms is limited. We are not liable for any loss of revenue, profit, customers, capital, anticipated savings, legal, tax, or accounting compliance issues resulting from your use of our services.

10.2 . Indirect Damages: In no event shall Digit-tally, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our services.

11. Indemity

You agree to indemnify Digit-tally, its subsidiaries, or affiliates, and each of their respective officers, direct representation and agents from any and all claims, liabilities, costs, and expenses, including, but not limited to, legal fees and expenses, arising out of a breach by you or any user of your account of these Terms or arising out of a breach of your obligations, representation and warranties under these Terms.

12. Entire Terms

12.1 . These Terms constitute the entire agreement between you and us regarding the use of our services. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. The heading in these Terms is for convenience only and has no legal or contractual effect. If any provision of these Terms is held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired and the invalid or unenforceable provision shall be deemed modified, so that it is valid and enforceable to the maximum extent permitted by law.

12.2 . Your relationship to Digit-tally is that of an independent contractor, and neither party is an agent or partner of the other. These Terms, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing shall be null and void. Digit-tally may freely assign these Terms to another entity or affiliate as it deems appropriate. The terms set forth shall be binding upon assignees.

13. Governing Law

13.1 . Jurisdiction: These Terms are governed by and construed in accordance with the laws of the federal republic of Nigeria, without regard to its conflict of law provisions.

14. Changes to the Terms

14.1 . Modification: We reserve the right to modify or update our services or these Terms at any time. We will endeavour to notify you of any changes by posting the new Terms on this page. Your continued use of Digit-tally after any such changes constitutes your acceptance of the revised Terms.
